ESG Management Governance Structure

To strengthen ESG management with the goal of sustainable growth, we have established an ESG management governance structure. The ESG Committee serves as the highest decision-making body for the company’s ESG-related policies and strategies and oversees company-wide ESG efforts. For more efficient operations, responsible personnel are assigned to each ESG area, and a working-level council has been established to systematically manage ESG issues and implement countermeasures related to ESG issues within the supply chain.

  • Board of Directors Operation

    The Board of Directors resolves matters stipulated by law or the Articles of Incorporation, as well as those delegated by the General Shareholders' Meeting, and oversees major policies and business operations. It also supervises the performance of duties by directors and management. The Board consists of four directors, including three internal directors and one outside director. CEO Koo-Yong Jung concurrently serves as the Chairperson of the Board.

  • Internal Audit System

    INZI Controls has established internal audit regulations to ensure financial soundness and improve management efficiency through risk management.

    We clarify the responsible audit departments and personnel, and enhance the efficiency of internal audit functions by defining the full cycle from planning and execution to reporting and follow-up. In 2022, we conducted a regular audit focused on fraud prevention in high-risk accounts and examined the status of long-term inventory and financial asset management. The audit included a review of relevant documents, on-site inspections, and interviews with responsible personnel. We will continue our internal audit activities and strengthen internal controls to prevent fraud.

  • Embedding Ethical Management

    INZI Controls recognizes that transparent and accountable management is the foundation of corporate competitiveness and has established an Ethics Charter to promote ethical management.

    The Ethics Charter serves as the value and behavioral standard for all employees and contributes to building a respected and trusted organization. Based on this charter, we have enacted the Code of Ethical Practice to put our commitment to ethical management into action, and we collect signed Ethical Pledges from employees to reinforce compliance with ethical standards. We also conduct ethics training for all employees to strengthen ethical awareness. In 2023, the training focused on the General Provisions of the Code of Ethics and the behavioral principles for employees. We will continue striving to create positive social impact as a responsible corporate citizen grounded in ethical principles.
